About the Firm
Who We Are
Jacobs & Dembert, P.A. was founded in 1996 by Jim Jacobs and Dave Dembert, colleagues from the 1980’s at Frank Bernstein Conaway & Goldman, a large regional law firm. Both Dave and Jim practiced law in their own small firms during the early 1990’s, before the needs of their clients led them to join together and form Jacobs & Dembert, P.A.
After establishing herself as one of the premier health law attorneys in Maryland, Carolyn Jacobs became Of Counsel to Jacobs & Dembert, P.A. in March of 2012.
For almost 24 years, the law firm was located at One South Street, near the Baltimore Inner Harbor, but in November, 2019, the firm moved to its current location at Quarry Lake in Baltimore County, just inside the Baltimore Beltway.
What We Do
Business & Corporate Law
In our business and corporate law practice, we handle a broad range of matters, including:
- Contracts
- Business acquisitions
- Entity formation, including drafting and negotiating stockholder agreements, operating agreements and partnership agreements
- Business operational matters such as employment agreements, supply agreements, and all other contracts and agreements relating to the internal and external operation of commercial businesses
- Review and negotiation of commercial loan documents
- General legal and business counseling.
Clients include professional practices, privately held business entities, family-owned businesses, and emerging companies.
Health Care Law
Our attorneys represent individual practitioners and physician groups on health care law issues relating to regulatory compliance, certification and licensing, reimbursement, practice mergers, acquisitions and divestitures, managed care contracting, employment agreements, joint ventures, stockholder and operating agreements and other business arrangements.
Estate Planning & Administration
In our estate planning and probate practice, we provide legal and tax advice, including skilled document preparation, to business owners, corporate executives, professionals, high net worth individuals and their families, and to fiduciaries in connection with estate and trust administration. We also prepare all required Federal and State estate, gift, fiduciary and income tax returns.
Airport Concessions & Real Estate Law
Our airport concessions practice entails drafting and negotiating airport concession agreements that involve both concessionaires and sub-concessionaires, and advising such clients on all pertinent regulatory aspects of such agreements, including Airport Concession Disadvantaged Business Enterprise (“ACDBE”) compliance.
The real estate practice includes drafting and negotiating commercial real estate acquisition agreements and leases, and reviewing and negotiating commercial real estate financing documents and residential real estate agreements.
Our Clients
Representative business clients of the firm include specialty retail and news and gift concessionaires in airports throughout the country; a company engaged in development, formation and manufacturing of pharmaceutical products; a nationally prominent architectural firm; companies engaged in the design, sale and leasing of computer hardware and software; executives negotiating employment agreements and severance agreements with large or publicly held companies; a broad range of professional service corporations and other entities that provide medical services in multiple specialties; physicians recruited for employment by hospitals and health systems; various restaurant franchisees; a national group of vehicle distribution companies; and a regional real estate brokerage firm.
